Terms and Conditions
Last Updated: April 14, 2026
Welcome to VenueVault Pro, a Delaware corporation ("VenueVault," "VenueVault Pro," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of https://venuevaultpro.com and any related software, applications, services, and tools (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you are prohibited from using the Service.
1. Description of the Service
VenueVault Pro is a software-as-a-service (SaaS) platform designed for independent music venues, theaters, promoters, and festivals ("Organizers"). The Service enables Organizers to manage event ticketing, sales, check-in, and operations.
VenueVault Pro is a technology provider only. We do not organize events, manage venues, set ticket prices, process refunds, or determine event policies. All event-related obligations are between the Organizer and the ticket purchaser.
2. Eligibility and Account Registration
To use the Service, you must be at least 18 years old and possess the legal authority to enter into a binding agreement.
By registering an account, you agree to:
- Provide accurate, current, and complete information.
- Maintain the security and confidentiality of your login credentials.
- Accept full responsibility for all activities occurring under your account.
- Ensure your use of the Service complies with all local, state, federal, and international laws.
3. Stripe & Payment Processing (Critical)
VenueVault Pro uses Stripe to facilitate payments between Organizers and ticket purchasers.
By using the Service, you acknowledge and agree that:
- You must create or connect a Stripe account to receive payouts.
- Stripe is the payment processor, not VenueVault Pro.
- Funds from ticket sales flow directly through Stripe to the Organizer's connected Stripe account and then to the Organizer's bank account (as configured). VenueVault Pro never holds, receives, or touches ticket funds.
- Your use of Stripe is subject to Stripe's Services Agreement and Stripe Account Agreement.
- VenueVault Pro does not store or process credit card data.
- VenueVault Pro does not control, hold, or guarantee funds and is not responsible for Stripe account approvals, suspensions, or payout delays.
4. Role of VenueVault Pro (Platform Clarification)
VenueVault Pro acts solely as a platform provider and software intermediary.
- Ticket sales are transactions directly between Organizers and ticket purchasers.
- VenueVault Pro is not the seller of record.
- VenueVault Pro is not responsible for event execution, refunds, cancellations, or disputes.
- Organizers are solely responsible for their events and customer obligations.
5. Organizer Responsibilities
Organizers agree they are fully responsible for:
- Event content, ticket pricing, policies, and disclosures.
- Compliance with local, state, federal, and international laws.
- Taxes, fees, and reporting obligations, including any required tax reporting related to ticket sales and payment processing (including any 1099-K forms issued by Stripe, if applicable).
- Customer service, refunds, and event communications.
VenueVault Pro may remove events or suspend accounts that violate laws or platform policies.
6. Fees, Payouts, and Negative Balances
VenueVault Pro charges a flat monthly subscription fee as disclosed on the website or within your account. VenueVault Pro charges no VenueVault per-ticket fees and does not take a percentage of your ticket sales (Stripe processing fees may still apply).
You acknowledge that:
- Payout timing is determined by Stripe.
- Stripe may hold, delay, or reverse funds.
- Chargebacks, refunds, disputes, and fees may create a negative balance.
You authorize VenueVault Pro and Stripe to:
- Deduct amounts owed from future payouts.
- Debit your connected Stripe account.
- Suspend payouts or access until balances are resolved.
All fees are non-refundable unless explicitly stated.
7. Refunds, Chargebacks, and Disputes
Refund and cancellation policies are set by the Organizer, not VenueVault Pro.
For disputes or chargebacks:
- The Organizer bears full responsibility.
- Stripe fees and penalties may apply.
- Excessive disputes may result in suspension or termination.
VenueVault Pro may assist with technical data but does not adjudicate disputes.
8. Acceptable Use
You agree not to use the Service to:
- Host illegal, deceptive, or fraudulent events.
- Violate Stripe's Acceptable Use or Restricted Business policies.
- Infringe intellectual property rights.
- Transmit malware, spam, or harmful content.
VenueVault Pro may suspend or terminate accounts for violations without notice.
9. Intellectual Property
All VenueVault Pro software, branding, designs, and materials are owned by VenueVault Pro or its licensors.
You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose.
You retain ownership of your event content and all customer/attendee data you collect or receive through the Service, but you grant VenueVault Pro a limited license to use your event content and data solely as necessary to operate, maintain, support, and improve the Service and provide it to you.
10. Data & Privacy
Your use of the Service is subject to our Privacy Policy.
Data Ownership: The Organizer owns 100% of its customer and attendee data generated through use of the Service.
No Marketing to Your Audience: VenueVault Pro will not market to, solicit, or contact an Organizer's customers or attendees for VenueVault Pro's own purposes (including promoting VenueVault Pro or other events), and will not sell or rent Organizer customer/attendee data.
You are responsible for ensuring attendee data is collected, used, and stored in compliance with applicable privacy laws, including consent and disclosure requirements.
11. Service Availability
The Service is provided "as is" and "as available."
VenueVault Pro does not guarantee:
- Continuous uptime.

We may modify or discontinue features at any time.
12. Termination
You may cancel your account at any time.
VenueVault Pro may suspend or terminate access:
- For violations of these Terms.
- For Stripe-related risk, fraud, or compliance concerns.

- Your customers or attendees.
- Your violation of law or these Terms.
